TERMS OF SERVICE & MASTER SERVICE CONDITIONS

Last updated: September 2026

These Terms of Service (the “Terms”, “Agreement”) govern the provision of desktop publishing (DTP), prepress, typesetting, document reconstruction, infographic formatting, and CAD drawing localization services (the “Services”) provided by Бюро DTP & Локализации (DTP & Localization Bureau) (“Company”, “we”, “us”, “our”) to the client (“Client”, “you”).

By submitting an order, uploading source files, approving a quote, or paying an invoice, you agree to be legally bound by these Terms.

1. SERVICES & ORDER FULFILLMENT

1.1. Scope: The Company provides professional DTP, prepress formatting, document conversion, vector/raster graphic recreation, CAD layout adjustment, and localized file preparation based on instructions and files supplied by the Client.

1.2. Quotations & Estimates: All project estimates, timelines, and price quotes are based on initial file inspection. If source files are corrupt, incomplete, poorly formatted, require unexpected manual reconstruction, or differ from initial samples, the Company reserves the right to adjust the pricing and turnaround time upon notifying the Client.

1.3. Deliverables: Deliverables shall be provided in the mutually agreed digital formats (e.g., packaged Adobe InDesign, Illustrator, AutoCAD DWG/DXF, print-ready PDF, or digital PDF).

2. CLIENT OBLIGATIONS, MATERIALS & INTELLECTUAL PROPERTY

2.1. Client Rights & Warranties: The Client warrants that it owns or has secured all necessary licenses, permissions, and rights to use, modify, localize, and reproduce all files, texts, drawings, trademarks, CAD data, and graphics submitted to the Company. The Client agrees to indemnify and hold harmless the Company against any third-party claims alleging infringement of intellectual property.

2.2. Font Licenses:

  • The Client acknowledges that fonts are proprietary software protected under applicable copyright and licensing laws worldwide (including the US, EU, Japan, and other jurisdictions).
  • If the Client supplies fonts for project execution, the Client confirms it possesses the necessary multi-user or service-bureau licensing allowing the Company to utilize said fonts exclusively for the Client’s project.
  • The Company does not sell font software. If specific commercial fonts are required and not provided under proper license, the Company will suggest commercially available equivalents or substitute standard system/open-source typefaces.

2.3. Ownership of Deliverables: Upon full payment of all outstanding invoices for the project, all rights, title, and interest in the resulting final deliverables (excluding the Company’s underlying background scripts, custom macros, proprietary automation tools, or pre-existing templates) shall belong to the Client.

3. REVIEW, REVISIONS & ACCEPTANCE

3.1. Inspection Period: The Client shall inspect the deliverables within ten (10) business days of receipt (the “Inspection Period”).

3.2. Corrections: If deliverables do not conform to the project specifications or agreed-upon brief, the Client must submit a consolidated written list of errors during the Inspection Period. The Company shall rectify non-conforming items at no additional charge.

3.3. Deemed Acceptance: If no written objection is received within the Inspection Period, or if the Client uses the deliverables in a live environment, distributes them, or submits them to print, the deliverables shall be deemed irrevocably accepted.

3.4. Out-of-Scope Revisions: Revisions resulting from client-side source text modifications, scope changes, structural design overhauls requested after work has begun, or late translation updates shall be billed at the Company’s standard hourly rate or an agreed supplementary fee.

4. PREPRESS, COLOR PROOFS & PRINTING DISCLAIMER (CRITICAL)

4.1. Pre-flight & Proofing: While the Company exercises professional diligence in prepress verification (including bleed, trim, resolution, and color space checks), the Client bears final responsibility for reviewing and signing off on the prepress deliverables.

4.2. Print Proof Requirement: The Client is strictly required to obtain and inspect a physical press proof / wet proof (or digital contract proof) from its chosen print provider prior to running mass production.

4.3. Limitation on Print Costs: Under no circumstances shall the Company be liable for the costs of paper, ink, printing runs, binding, re-printing, logistics, customs, or consequential manufacturing losses incurred as a result of typographical errors, color shifts, font rendering anomalies, trapping issues, or layout discrepancies discovered post-printing.

5. CONFIDENTIALITY & DATA SECURITY

5.1. Confidential Information: All source files, unpublished technical documentation, CAD schematics, client brand assets, and project correspondence are considered strictly Confidential Information.

5.2. Non-Disclosure: The Company agrees not to disclose, publish, or transfer any Client Confidential Information to third parties without prior authorization, except to contracted specialists (subcontractors) bound by non-disclosure agreements with equivalent protective terms.

5.3. Data Handling: Personal data submitted within files shall be handled in accordance with our Политика конфиденциальности (Privacy Policy) and applicable data protection regulations (such as GDPR, CCPA, LGPD, APPI, PIPA, and PIPL).

6. FEES, PAYMENT & TAXES

6.1. Payment Terms: Invoices are payable within 14 to 30 calendar days from the invoice date, unless otherwise agreed in writing. For new clients or large-scale projects, an upfront advance deposit (e.g., 30–50%) may be required.

6.2. Late Payment: Overdue amounts shall accrue interest at the rate of 1.5% per month (or the maximum legal limit permitted by applicable law), plus reasonable debt collection costs.

6.3. Taxes: Stated fees are exclusive of value-added tax (VAT), withholding taxes, sales tax, or bank transfer charges, which remain the sole responsibility of the Client.

7. LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES

7.1. As-Is Provision: Except as expressly set forth herein, the Services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including merchantability or fitness for a particular purpose.

7.2. Cap on Liability: To the maximum extent permitted by applicable law in any relevant jurisdiction (including the EU, US, Japan, South Korea, China, and Brazil):

  • The Company’s total aggregate liability arising out of or related to this Agreement, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the total fees paid by the Client to the Company for the specific project or task giving rise to the claim.
  • In no event shall the Company be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profit, business interruption, loss of data, or reputational damage.

8. FORCE MAJEURE

Neither party shall be liable for delays or failure to perform resulting from acts beyond reasonable control, including but not limited to power grid failures, telecommunications disruptions, cyber-attacks, natural disasters, war, embargoes, labor disputes, or governmental restrictions.

9. GOVERNING LAW & DISPUTE RESOLUTION

9.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of Company Registration (Russian Federation), without giving effect to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

9.2. Amicable Settlement: The parties agree to attempt in good faith to resolve any dispute through informal executive negotiation within thirty (30) days of written notice.

9.3. Jurisdiction: Any unresolved dispute, controversy, or claim shall be submitted to the exclusive jurisdiction of the competent courts of Moscow, Russia, or, by mutual agreement, settled via binding international commercial arbitration under internationally recognized arbitration rules.

10. MISCELLANEOUS

10.1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

10.2. Entire Agreement: These Terms, together with any written project quotation or Master Services Agreement (MSA), constitute the entire agreement between the parties regarding the Services.

10.3. Language: In the event of any translation of this document into other languages, the English-language version shall govern and prevail.
